Welcome to Huddol! We’re so happy to have you.

Huddol is a platform that consists of responsive and progressive web application (“Platform”) which allows people who have created an account to send messages to other members (“Messaging”), post content (“Posting”, “Contributing”, “Suggesting” or “Commenting”), join communities (“Communities”), follow topics (“Topics”) and book Video Sessions for a fee (“Pro Services” or “Sessions”) with authorized Huddol Pros (“Pros”). Pros may list and deliver Pro Services on Huddol through our marketplace. All told these describe the platform services (“Platform Services”). Our policies play an important role in creating an inviting community for all our members.

When we use the terms “Huddol”, “Platform” or “We”, in these Terms of Use (the “Terms” or the “Agreement”), we mean the online Platform run by the Canadian Caregiver Network (“CCN”) and Huddol Inc. (“Huddol Inc.”). “We” may also refer to CCN or Huddol Inc. and / or their respective officers, directors and employees, depending on the context.

When we use the terms “users” or “you” in this Agreement, we mean individuals using our Platform as either casual visitors (“Visitors”), registered members of the Platform (“Members”), or registered experts of the Platform (“Pros”).

By accessing or using the Platform, you agree to the terms of the Agreement, so please read the Terms below carefully. If you do not agree to our Terms and conditions of use in this Agreement, refrain from using the Platform. We will update this Agreement periodically, so check back for any updates.

1. Eligibility to Participate on Huddol

Huddol is a Platform for people 13 years of age and older. To register on the Platform, you must be over 13 years old. We reserve the absolute discretion to determine your eligibility to become a Member. If a member is found to be under the age of 13, their account will be deleted.

2. Huddol Does Not Provide Medical Advice

Content on the Huddol Platform including text, graphics, video, podcasts, articles, information from third parties, chat messages, or other content may include medical information. However, this information does not constitute medical advice or substitute for a medical examination. If you have a medical concern, please consult a medical professional or seek advice from a physician or other health professional. Do not delay or ignore the advice of your health care provider or delay in getting care because of content on this Platform. If you have an emergency, please call 911 or your doctor immediately.

3. Appropriate Conduct

Huddol is a platform that supports discussions and social exchanges between our Members, and, as such, our policy is to support the free exchange of ideas and positive Member interactions. We require Members to interact in a way that is respectful to others and does not inhibit anyone else from using the Platform.

You are responsible for the content you post or exchange on Huddol and any consequence of adding that information to the Platform.

By using the Platform, you agree to:

  • Post content that is respectful of others.
  • Avoid hate speech - do not include language that is threatening, abusive, harassing, defamatory, fraudulent or obscene.
  • Not post content related to medical advice that is presented as fact without adequate scientific evidence.
  • Not post or share information that violates the legal rights of others, including violating the privacy rights, publicity rights, copyrights, contract rights or any other rights, of any person or entity.
  • Not send unsolicited messages to members or post across many communities simultaneously in any way that could be construed as spamming or mass solicitation.
  • Not use the Platform to link to any third-party website that is a spam or phishing website, to any website that sells goods or services not related to the activities or themes of the Platform, or to any website that may violate any applicable law.
  • Not use the Platform in any way that will likely interrupt the Platform’s function or damages the service, or the infrastructure used to run the Platform.
  • Not use automated methods to harvest, scrape and/or repurpose content. The use of any robot, spider, site search/retrieval application, or another device to retrieve or index any portion of the Platform or collect information about Members for any unauthorized purpose is prohibited.

Further information on appropriate member conduct can be found in our Community Guidelines. By agreeing to the terms of this Agreement, you are also agreeing to the terms of the Community Guidelines.

Failure to comply with any of the aforementioned use parameters will entitle the administrators of Huddol to delete or suspend your account and may result in the loss of any and all Platform related benefits accrued, or fees paid by you, or to you, in the case of Huddol Pros.

You agree that all the information you provide during registration and Platform usage is accurate, true, and not misleading. You may not create multiple accounts to impersonate someone on the Platform or take advantage of the Platform Services. If your account has been terminated, you may not create a new account without the permission of Huddol.

While we make efforts to detect harmful content on Huddol, we do not pre-screen or otherwise guarantee the Platform will be free from inappropriate content or conduct. While rare, inappropriate content could appear, and you access the content at your own risk. We rely on you to let us know about content that may violate our policies. If you see something that you think is inappropriate, please report it. After reviewing content, we may take action, including restricting access to the content, removing the content, and limiting or terminating a Member’s access to the Platform. Note, that we may make exceptions to these policies for educational, medical, or informational purposes and we reserve the right to remove content for other reasons.

International Members agree to comply with their own local rules regarding online conduct and acceptable content, including laws regulating the export of data to Canada or your country of residence.

4. Posting and Sharing Information

You add information to the Platform when you complete registration and complete forms on the Platform to create a “Member Profile” (“Information”) and through posting content (posts, images, video, articles, etc.) (“Member Generated Content”). Beyond the information required to register, adding information on the Platform is voluntary.

Information from your profile will be visible on the Internet, for search engines, unregistered visitors and registered Members to see. Your email address, password, credit card and banking information is never shared with third parties.

Huddol intentionally limits its request for information that can be used on its own or with other information to identify, contact, or locate a single person, or to identify an individual in context (“Personally Identifiable Information” or “PII”). You should be aware that the more information you add to the Platform, the greater the chances that someone will be able to use that information to locate or identify you.

In addition, we do not screen the information people post. We cannot stop you from entering PII as free text on the Platform, and you do so at your own risk.

You are responsible for the Information and Member Generated Content that you enter on the Platform. Only share information and content that you legally have the right to share through personal ownership or because you have permission from the owner to share it.

The content you choose to share is visible to other Members who may view, share, distribute, access and copy this content. In addition, when you post content, you give Huddol and our partners the right to use, display, copy, distribute, translate and edit yours Member Generated Content. This content may also be used for medical, marketing research or reporting according to the terms outlined in our Privacy Policy.

Huddol, its affiliates and their respective representatives, officers, directors, owners, officials, partners, partnerships, principals, employees, affiliates and other related entities, agents, representatives, successors and assigns (hereinafter “Representatives”), will not be held liable for any damages, pecuniary or otherwise, to you or any third party arising from your submission or use of Member Generated Content, whether it violates these Terms or not, and disclaims any responsibility in this regard.

5. Member Social Networking Activity on the Platform

5a. Posting or Contributing on Huddol
You can share content on the Platform through posting, contributing or commenting.

5b. Messaging
You can message other members on a on-to-one or group basis on the Platform.

5c. Showing Gratitude, Commenting or Sharing
You can show gratitude or otherwise, comment, suggest or share the content of other members.

6. Video Sessions on the Platform

6a. Transacting with Huddol Pros through Pro Services
Pros post health and wellness related Pro Services in our marketplace. Pro Services consist of video Sessions scheduled, transacted and delivered through the Platform.

Pros on Huddol have gone through an assessment, credential verification (where appropriate), and an interview process to assess appropriateness and fit for the Platform.

Pro profiles indicate where they have expertise and may be of help to you. These listings are only suggestions and Huddol does not guarantee the Pro’s ability to assist you.

You are responsible for the conduct of any Session with a Pro and the provision of any treatment or support therein. Huddol is not liable or responsible for any harm that arises out of or relates to a Session you participate in. If you have a complaint against a Pro, you can email us at hello@huddol.com and identify the relevant Pro and details associated with your experience. We will respond appropriately.

The duration of a Session shall be presented to you at the time of booking. You may end your relationship with a Pro at any time. A Pro is obligated to inform us if a member wishes to visit them in person or through other means. Otherwise, all Member to Pro communication should take place through the Platform, unless necessary to communicate through other means.

The Platform enables members to obtain on-demand access to Pros by secure video, and to receive related administrative support services via online communication tools (scheduling, invoicing, booking, messaging). All Pros are independent of Huddol and are solely responsible for the provision of their services to you. Huddol is not engaged in the practice of medicine or any other regulated health profession. Neither Huddol nor any other party associated with Huddol is liable for any services provided to you by Pros.

FOR GREATER CLARITY, HUDDOL IS NOT A PROVIDER OF TELEMEDICINE OR TELEMEDICINE SERVICES. HUDDOL DOES NOT PROVIDE HEALTH CARE SERVICES, MENTAL HEALTH SERVICES, OR SOCIAL OR PSYCHOTHERAPY SERVICES, OR ANY OTHER PROFESSIONAL SERVICES. Huddol is simply a technology service provider that facilitates the Pro Services through the Platform.

Your medical care and mental health care are solely the responsibility of you and the Pro providing you services.

PROS ARE NOT THE EMPLOYEES OR AGENTS OF HUDDOL AND ARE NOT CREDENTIALED BY HUDDOL. HUDDOL DOES NOT HAVE ANY OVERSIGHT OF THE CARE PROVIDED TO YOU BY PROS. Each Pro is an independent provider who is solely responsible for any services provided by them to you, and is also solely responsible for obtaining your informed consent, where required, to any treatment, including without limitation, your consent to use the Pro Services, to the extent such consent is required by applicable legislation in their area.

6b. Pro Credentials
Pros available to you through the Platform self-identify the areas in which they are competent and represent that they are permitted to provide services in such areas and are a member in good standing with the regulatory body of their jurisdiction, where required by law.

At all times the Pro will provide correct and accurate representation of their skills, degrees, qualifications, background and other information, whether this information is provided to us, to the Member and on any form submitted to or presented on the Platform. Furthermore, Pros agree that during the term of this Agreement they will make sure to maintain and update this information so it will continue to be accurate, current and complete.

Although Huddol assesses and interviews Pros, we have no means to guarantee that such Pros specialize in their claimed fields. Huddol is not responsible for credentialing Pros, makes no representation regarding the accuracy of Pro’s credentials, and expressly disclaims any liability for inaccurate or fraudulent credentials or claims by Pros. We recommend that you separately confirm that the Pro is in good standing with their respective regulatory body, where appropriate.

6c. Pro Conduct
When providing Pro Services or making any other use of Platform, the Pro must exercise a reasonable standard of care, at least the same as the Pro would in a similar transaction not conducted through the Platform or the Internet. Without derogating from the above, the Pro must exercise the standard of care mandated by their profession.

The Pro will not provide to you any services other than those available through the Platform.

The Pro will not provide to you any services which may not be lawfully rendered or provided through the Platform according to the laws, regulations and ethics that applies in the Pro's jurisdiction.

The Pro will not diagnose, treat, test, advise, counsel, recommend a course of treatment, or otherwise provide or perform any services that require an in-person meeting with you or examination of you.

The Pro will provide services only about and in respect of non-emergency matters and issues. For emergency matters and issues the Pro will instruct you to immediately call 911 or your local emergency assistance number.

The Pro agrees to never engage in the practice of medicine or enter into a physician/patient relationship with you through the Platform.

The Pro will not prescribe or dispense medicines to you.

The Pro will advise you whenever appropriate that their advice is not a substitute for the advice or treatment of a physician after physical examination.

Whenever appropriate, the Pro will recommend you seek help by meeting a qualified professional face-to-face.

The Pro will not disclose any information that was provided to them by you and will use their best efforts to guard Members privacy and respect Huddol’s Privacy Policy. All Pro Services are booked and hosted in a secure and confidential environment.

All contact between the Pro and you who are introduced through the Platform must be conducted only through the Platform, unless otherwise necessary. The Pro must advise us if they intend to transact any other non competing services with you outside the Platform.

The Pro may not use this Platform to solicit the performance of any illegal activity or other activity which infringes your rights or the rights of others.

The Pro agrees and commits not to violate any applicable local, state, national or international law, statute, ordinance, rule, regulation or ethical code in relation to the use of the Platform and to the Pro's relationship with you and Huddol. The Pro further agrees and commits not to engage in conduct that is harmful, unethical, fraudulent, deceptive or offensive.

6d. Member and Pro Fees and Payments to Pros
Members pay for Pro Services by credit card. All credit cards are processed through secure third-party transactions at the time of booking.

The cost of a Session is indicated at the time of booking. Booking rates are established by the Pro, at their discretion, and may change at their discretion but not after a Session is scheduled.

Sessions that are indicated as free (typically 15 minute introductory sessions, unless otherwise indicated through special offers) are provided one time to each member the first time they book with a Pro. These are introductory sessions intended to allow the member some time to assess fit with a Pro.

Pros receive payment for Pro Services in the amount of 70% of the total value of the Pro Service invoiced. The 30% balance is retained by Huddol. This ratio may be changed at our sole discretion. Payments to Pros are held for 7 days.

The Pro is solely responsible for reporting and paying all applicable taxes related to the Pro's use of the Platform.

Any payment disputes or claims must be submitted within 30 days of discovery of any mistake.

If a Member has made payment but has later either charged back such payment for any reason or received (in our sole discretion) a refund for such a payment (collectively "Refunded Payments"), we will not pay those Refunded Payments to the Pro and if the money has already been delivered to the Pro, the Pro will be required to repay this amount to Huddol. Notwithstanding the above, we may deduct this amount from the Pro account or, if required, from future payments made to the Pro.

The Pro agrees and commits to immediately notify us in any case that the Pro provides any service to the Member not through the Platform or in any case that the Member is not billed by the Pro through the Platform or in any case that the Member is making a payment to the Pro that is not through the Platform.

6e. Cancellation Policy for Pro Services
You may cancel a booked Session up to 24 hours in advance of the scheduled Session for a full refund. Otherwise, the Session will be charged in full to you, including in the event you do not attend a Session. Pros may cancel a Session anytime prior to the start of the scheduled Session.

6f. Rescheduling a Session
You may request to reschedule a session up to 24 hours in advance of the scheduled session time. Requested time changes for a session within the 24-hour period prior to a Session may be rescheduled at the discretion of the Pro. Otherwise the Session will considered to be booked and is subject to full payment by the Member.

6g. Refunds for Sessions
A full refund for a paid session will be provided in the following cases*:

  • A Session is cancelled by a member at least 24 hours in advance of the scheduled Session time.
  • A technical issue arising from the Platform that prevented the Session from taking place, or interrupted the time allotted for the Session, assuming the Session could not be resumed in a timely fashion.
  • A Pro does not attend a Session.
  • A Pro is delisted from Huddol after a session is paid for and booked by a Member.

A refund will NOT be issued for a paid session in the following cases:

  • A member does not attend a scheduled Session.
  • A member is unable to access a Session or a Session is interrupted as a result of a technical issue arising from the Member’s use of their own device (software or hardware problem).
*All other refunds are at the sole discretion of Huddol.

7. Platform for Non-Commercial Use Only

The Platform content, including any content available only to Members is for the personal use of individual Members only and may not be used in connection with any commercial endeavors without the permission of Huddol.

8. Privacy Policy, Personal Information and Permissions for the Application

You agree that you have read, understood and accept Huddol’s Privacy Policy and the treatment of your Personal Information as described therein. The policy explains how we collect, securely store and use your Personal Information (as that term is defined in the policy). In addition to Personal and non-identifiable information, the Privacy Policy also describes how the Application accesses functions of your Device that are not part of the Application and are developed by third parties. These are known as permissions, and you agree that Huddol has the right to access third-party computer code on your Device in this manner and as described in the Privacy Policy.

9. Copyright and Intellectual Property

As a Member of the Platform, you agree to protect copyright and the intellectual property of others. You may not upload, embed, post, email, transmit or otherwise make available any material that infringes any copyright, patent, trademark, trade secret or other proprietary rights of any person or entity. When appropriate, we will terminate the membership of a Member who violate this policy.

The elements of the Platform, excluding Member Generated Content and including logos, graphics, images, software, icons and other elements are the exclusive property of Huddol or our partners and are protected by the copyright and other intellectual property laws of Canada and other countries. The core technology of the Platform and all of the related software code remains the sole property of Huddol. All rights not explicitly granted herein are reserved. Any infringement of our rights will result in appropriate legal action.

If you believe your work has been copied and posted on or through the Platform in a way that constitutes copyright infringement, you may request removal of those materials (or access to them) from the Platform. Please contact us at hello@huddol.com for more information.

If Member Generated Content that you submitted has been removed as a result of a request, and you believe that your Content was posted legally, please contact us at hello@huddol.com to contest the claim and to ask us to re-post it.

If you choose to communicate to us suggestions for improvements to the Platform or any service available on the Platform (collectively, “Feedback”), Huddol shall own all right, title, and interest in and to the Feedback and will be entitled to use the Feedback without restriction. You hereby irrevocably assign all right, title and interest in and to the Feedback to Huddol and waive in favor of Huddol, its successors and assigns any and all rights in the Feedback and agree to provide Huddol such assistance as Huddol may require to document, perfect, and maintain Huddol’s rights to the Feedback. You acknowledge and agree that, by providing any Feedback to Huddol, you are not entitled to any compensation or reimbursement of any kind from Huddol under any circumstances.

10. Login Information and Credentials

You are responsible for keeping your Member name and password secure and private and for any activity that occurs from within your account (using your Member name and password) with and without your knowledge. Do not share your login information with anyone else. If you do, we may temporarily or permanently end your membership. You are required to notify Huddol of any unauthorized use of your account. You should log out at the end of every session. Huddol and its Representatives will not be held liable for any losses or damages, direct or indirect, pecuniary or non-pecuniary, resulting from your failure to log out at the end of the session, an unattended logged-in session, or a third party using the Platform with your account information and accessing your account through any means, and disclaims any responsibility in this regard.

11. Links to Other Websites

Huddol may contain links to other websites or services that are not under the control of Huddol. The inclusion of any link does not imply endorsement by Huddol of such site and Huddol is not responsible for the content of such linked sites or services. In no way will Huddol or its Representatives be held responsible for any damages, direct or indirect, pecuniary or non-pecuniary: (1) for your use of websites or other services that may be linked to from the Platform or the information thereon; (2) for any virus, Trojan horse, worm or other similar destructive file received as a result of your use of those websites or services; (3) caused by or in connection with, use of or reliance on any content, or products or services (whether free or for purchase) available on or through any linked-to website or service; or (4) for the actions of the operators of any such website or service.

12. Interactions with Members and Third-Party Services

Huddol provides Members with recommendations through its matching algorithms. Huddol provides recommendations and automated matching services based on information entered by Members. While we make recommendations based on shared interests, Huddol offers these suggestions for informational purposes only.

13. Membership Termination

Huddol may terminate your membership with or without prior notice or cause because of:

  • Violations of this Agreement or our Community Guidelines
  • The Member’s request
  • Unexpected technical issues
  • Requests by law enforcement
  • Extended period of inactivity

If an account has been terminated, the Member’s information will no longer be visible on the Platform. However, information entered into the Platform may still be used for research purposes as outlined in the Privacy Policy.

14. Modifications to this Agreement

We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on the Platform. We encourage you to review this Agreement periodically for any updates or changes, which will include the date it is effective. If we make any substantial changes to this Agreement that materially affect your legal relationship with Huddol, we will use commercially reasonable efforts to notify you by sending a notice to the primary email address specified in your account or by posting a prominent notice when you log in to your account for the first time following those changes.

15. Fees

Membership with Huddol is currently free for Members. Fees apply when members book Pro Services available through the Huddol marketplace. We reserve the right to from time to time change the terms of this Agreement and charge for membership and/or to provide additional optional services for a fee. If we do, this section will be updated accordingly and you will be notified via email.

16. Disclaimer of Warranties

We do not endorse any particular service providers, products, health providers, tests or other information that appears on the Platform. We supply information for you to use in making decisions; however, you use the Platform at your own risk.

You expressly understand and agree that your use of the Platform, the information thereon (whether provided by Huddol or third parties, including but not limited to other Members) or any activity arising from your use of the Platform or the information thereon or the materials downloaded therefrom is at your sole risk. The Platform, any materials downloaded therefrom, or any third party materials, are provided on an "as is" and "as available" basis, and you will be solely responsible for any damage to your computer system or loss of data that results from the download, stream or access of any material obtained through the use of the Platform or any other functionalities of the Platform, or losses or damages (financial or otherwise) resulting from your use of the Platform, the information thereon, any materials downloaded therefrom, or any activity arising from the use of the Platform, the information thereon or any materials downloaded therefrom.

The information or resources provided through the Platform, written or produced by Huddol staff, freelance writers or other subcontractors hired by Huddol are expected to be as accurate as reasonably possible at the time of writing or production, and every effort has been made to ensure that the information from the Platform is as accurate and up-to-date as possible. However, certain information may change, and errors or omissions may occur, and Huddol shall not be responsible for any loss or damage, financial or otherwise, resulting from changes or errors in information, or any omission, on the Platform or the information thereon. Huddol makes no warranty whatsoever regarding the accuracy of information provided by Members in the form of Member Generated Content, and expressly disclaims any responsibility in this regard.

Huddol expressly disclaim all warranties of any kind, whether express or implied, including but not limited to: warranties of title and non-infringement; warranties that the Platform, the information thereon or any materials downloaded therefrom, and any third-party materials will be uninterrupted, error-free, accurate, reliable and free from virus and other harmful components; and the implied warranties of merchantability and fitness for a particular purpose. Huddol and its affiliates and their respective Representatives, do not warrant that: (i) the Platform will be secure or available at any particular time or location; (ii) any defects or errors or omissions will be corrected; (iii) any content (whether provided by Huddol or third parties) available at or through the Platform is free of viruses or other harmful components; or (iv) the results of using the Platform or any content downloaded will meet your requirements.

Some of the content displayed on the Platform (including but not limited to Member Generated Content) may include materials (including with respect to products or services) that belong to or are provided by third parties. You acknowledge that we assume no responsibility for such content, products and/or services.

To the extent that the law does not permit a disclaimer of warranties, all content accessible on this Platform, or any other website to which we link, and all operations on this Platform are warranted only to the minimum amount legally required.

17. Limitation of Liability

In no case will Huddol or its Representatives be liable for any indirect, special, consequential, exemplary, punitive damages or other damages, or for any losses, damages, liabilities, costs and expenses arising out of or relating to (i) your access, use, misuse or inability to access or use the Platform or (ii) the interruption, suspension or termination of any part of or all the Platform; and in both cases (i) and (ii) regardless of the cause of action (whether in contract, warranty, delict, quasi-delict, tort, negligence, strict liability or any other theory of liability) and even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary in the Terms of Use, in no event will our aggregate liability for any claims in connection with your use of the Platform exceed $100 CDN. You expressly understand and agree that Huddol and its Representatives shall not be liable for any direct, indirect, incidental, special, consequential, exemplary; punitive or other damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, in contract, tort, strict liability, negligence, general civil liability, or any other cause of action under legal or equitable theory, relating to the Platform, the information on the Platform, the use of the Platform, activities arising from your use of the Platform, any third party materials (including but not limited to Member Generated Content) on the Platform, or any materials downloaded from the Platform. This limitation of liability applies, without limitation, to any damages or injury caused by any error, omission or other failure of performance by Huddol and its Representatives; any interruption, defect or delay in operation or transmission, including communication line failure; any computer virus; and any theft, destruction or alteration of, or unauthorized access to or use of, any electronic records.

18. Indemnification

Notwithstanding any other term of this Agreement or any act or failure to act by Huddol or its Representatives, you agree to indemnify, defend and hold harmless Huddol and its Representatives where applicable, from and against any damages, liabilities, costs and expenses (including attorneys’ and accountants’ fees), claims or demands by any person or entity, arising out of (i) your use of or connection to the Platform, the information thereon (including but not limited to Member Generated Content), the information downloaded therefrom; (ii) your participation in any activities arising from the Platform or the information thereon (including but not limited to Member Generated Content); (iii) your violation of, or failure to perform your obligations under this Agreement or the Privacy Policy; or (iv) your violation of any rights of a third party.

19. International Members

Huddol makes no claims that information on the Platform is appropriate or accessible outside of Canada. Personal information that is submitted to this Platform will be collected, processed, stored, disclosed and disposed of in accordance with applicable Canadian law and our Privacy Policy. If you are a non-Canadian Member, you acknowledge and agree that Huddol may collect and use your Personal Information and disclose it to other entities outside your resident jurisdiction. In addition, such Information may be stored on servers located outside your resident jurisdiction. Canadian law may not provide the degree of protection for Personal Information that is available in other countries. By providing us with your Information, you acknowledge that you consent to the transfer of such Information outside your resident jurisdiction as detailed in our Privacy Policy. If you do not consent to such transfer, you may not use the Platform.

20. Member Notices

If you register as a Member, you agree that Huddol may send notices to you by email at the email address you provide when registering to become a Member (or which you later update using the functionality of the Platform).

21. Modifications, Termination, Interruption and Disruptions to the Platform

You understand, agree and acknowledge that we may modify, suspend, disrupt or discontinue the Platform, any part of the Platform or the use of the Platform, whether to all members or to you specifically, at any time with or without notice to you. You agree and acknowledge that we will not be liable for any of the aforementioned actions or for any losses or damages whether pecuniary or otherwise that are caused by or relate to any of the aforementioned actions. The Platform depends on various factors such as software, hardware and tools, either our own or those owned and/or operated by our contractors and suppliers. While we make commercially reasonable efforts to ensure the Platform’s reliability and accessibility, you understand and agree that no platform can be 100% reliable and accessible and so we cannot guarantee that access to the Platform will be uninterrupted or that it will be accessible, consistent, timely or error-free at all times.

22. Governing Laws and Jurisdiction

This Agreement and your use of the Platform shall be governed by and construed in accordance with the laws of the Province of Québec, Canada, in force at the time without regard to conflict of law provisions. You agree that any legal action or proceeding between you and Huddol shall be brought exclusively in the courts located in the Judicial District of Montreal, Quebec, Canada. Notwithstanding the foregoing, Huddol shall have the right to bring action against you in courts of competent jurisdiction in the jurisdiction in which you reside or are located: (i) to seek injunctive relief against you; (ii) to obtain a judgment against you where a judgment by the Montreal court will, or may not be, enforced by the jurisdiction in which you reside or are located; or (iii) to enforce a judgment obtained against you in the Montreal court.

23. Miscellaneous Provisions

  1. This Agreement and the Privacy Policy constitute the entire agreement between you and Huddol with respect to your use of the Platform, superseding any prior agreements between you and Huddol. When you download the Application, you are also subject to the Terms of Service and Privacy Policy of the application distribution system you used to download the Application (i.e. iOS App Store or Google Play, hereinafter “Third Party Application Distributor”). We strongly suggest that you read those documents prior to installing the Application. Huddol and its Representatives shall in no way be held responsible for any losses or damages, whether pecuniary or otherwise, to you or any third party for your failure to adhere to the Terms of Services and / or Privacy Policy of any Third-Party Application Distributor when downloading and / or using the Application.
  2. Huddol shall not be liable for any failure to perform its obligations under this Agreement where such failure results from any cause beyond Huddol’s reasonable control, including, but not limited to, mechanical, electronic or communications failure or degradation.
  3. In the event of the termination of this Agreement (for the reasons set out in this Agreement or for any other reason), all provisions of this Agreement which by their nature should survive termination, shall survive termination, including without limitation, intellectual property provisions, disclaimers, indemnity and limitations of liability.
  4. If any provision of this Agreement or the Privacy Policy is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision in question, and the other provisions of this Agreement or the Privacy Policy as the case may be, and that the other provisions shall remain in full force and effect.
  5. The parties acknowledge having expressly required that this Agreement and the Privacy Policy are to be drawn up in the English language. Les parties aux présentes reconnaissent avoir expressément exigé que les présentes et la Politique de confidentialité soient rédigées en anglais. Any other language versions of this Agreement or the Privacy Policy are provided for information purposes and convenience only and may not be 100% accurate. In case of discrepancy between the English and any other language version of this Agreement or the Privacy Policy, you agree that the English language version shall govern.
  6. The section titles in this Agreement and in the Privacy Policy are for convenience only and have no legal or contractual effect.
